Thesis summary

Long GRAB (Nasdaq: GRAB) at $2.92. Base-case DCF fair value $4.59 (+57%); probability-weighted $4.35 (+49%); 12-month target $5.16. Conviction: Medium, moving to High if Q3 2026 confirms Financial Services breakeven.

The market is pricing Grab as if the Indonesia commission cap, Vietnam driver pushback and roughly $3.5bn of fintech M&A will break the earnings story. The numbers say otherwise: adjusted EBITDA has grown for 18 straight quarters, 2026 guidance was raised to $720–740m, and the stock is down about 42% year to date.

Adjusted for committed acquisition cash, the stock trades at about 9.7x 2027E and 6.5x 2028E adjusted EBITDA. Our base case is 5% below management's raised $1.7bn 2028 target, and still shows 57% upside. The bear case ($2.56, −12%) shows a skewed payoff of roughly 4.7 to 1.

Key pillars

  1. On-demand compounding with operating leverage. On-Demand GMV grew 21% in Q2 2026 to $6.5bn, with a record 54m monthly transacting users. Deliveries segment EBITDA rose to 2.3% of GMV from 1.8% a year earlier, helped by advertising. Group adjusted EBITDA margin reached 16.9% of revenue, up from 13.3%. We model Deliveries margin rising to 2.8% of GMV by 2028.
  2. Financial Services turns from cost centre to profit pool. FS segment losses narrowed to −$15m in Q2 and management guides to breakeven in 2H26. The gross loan book reached $2.3bn (+197% YoY). With Atome, management now targets $500m of FS EBITDA and over $6bn of loans by 2028; we model $350m, reaching $500m a year later.
  3. The price already discounts the bad news. At $2.92 the market implies about 7.7x our 2028E EBITDA once committed M&A cash is deducted. Peers trade higher: Uber at ~12x forward and DoorDash at ~19x NTM EBITDA.
  4. Insiders and the company are buying. The CEO and President/COO bought about $30.8m of stock at just under $2.90 in September. The Board added a $750m buyback in August, taking cumulative authorisations to $1.75bn since 2024.

The thesis is falsifiable: it fails if 2027 EBITDA guidance comes in below $1.0bn, or if FS is still loss-making by 1H27.

Financial model and valuation

The model builds each segment (Deliveries, foodpanda Taiwan, Mobility, Financial Services incl. Atome) to 2035, then values the free cash flow left after share-based pay and the equity needed to fund loan growth. Our base case lands within 1% of 2026 guidance and in line with 2027 consensus ($1,081m), but 5% under management's 2028 target.

The bear case is not a collapse: EBITDA still grows about 20% a year, just from a lower base after regulation and slower Atome closing.

Scenarios

Scenario What has to happen 2028E FS EBITDA ($m) DCF value / share SOTP value / share vs $2.92 Probability
Bull GMV growth holds high-teens; ads lift Deliveries to 2.9% of GMV in 2028; Atome closes mid-2027 427 $5.67 $5.59 +94% 25%
Base Growth fades from ~20% to ~14%; Indonesia cap costs ~$40m a year; Atome closes Q4 2027 350 $4.59 $4.26 +57% 50%
Bear Cap spreads to cars and Vietnam (~$75–90m a year); credit costs keep FS margin at 10%; Atome slips to 2028 208 $2.56 $2.70 −12% 25%
Weighted $4.35 $4.20 +49%

How the value is built

  • Discount rate: WACC 12.0% (10Y Treasury 5.10%, beta 1.15, equity risk premium 5.0%, Southeast Asia country premium 1.5%); terminal growth 4.0%. The terminal value is 65% of EV and implies only 7.2x 2035E EBITDA.
  • Costs we do not add back: share-based compensation ($270m in 2026E) is treated as cash; 15% of every dollar of loan growth is charged as equity capital; 40% of Atome profits go to minorities until Grab buys them out.
  • Cash we do not count: from $5.4bn reported net cash we deduct deposit-funded cash ($0.35bn), minorities ($0.44bn), foodpanda Taiwan ($0.6bn), Stash ($0.43bn), Atome's first 60% ($1.23bn net of capital it keeps) and the present value of the last 40% ($0.79bn). That leaves $1.64bn.
  • Convertible: the $1.5bn 0% note converts at $6.55, above every scenario value, so it is treated as debt.
  • Our estimates, not disclosed: Atome revenue ($700m in 2028) and margins, foodpanda Taiwan take rate, and Stash's price split.

Sensitivity and what is priced in

Moving WACC by ±1 percentage point and terminal growth by ±0.5 points gives $3.91–$5.58 per share, all above today's price. Put the other way, $2.92 equals about 8x a 2028E EBITDA of $1.55bn, or 10x a bear-like $1.25bn. That is below Uber's ~12x and DoorDash's ~19x forward multiples.

Key risks

The biggest risk is regulation of driver pay spreading beyond Indonesian motorbikes; credit losses in a fast-growing loan book come next.

  1. Commission caps spread. Indonesia cut the ride-hailing commission cap from 20% to 8% (signed May 2026). Two-wheel Indonesia is only ~6% of Mobility GMV, and Citi sizes the hit at $35–40m a year. Maybank says it rises to ~10% of EBITDA if cars are included. Vietnam's competition regulator opened a review of Grab's fees in September after drivers called a log-off.
  2. Credit losses. Gross loans grew 197% in a year to $2.3bn, and impairment losses more than doubled to $72m in Q2. Atome adds Indonesian cash loans and buy-now-pay-later at a time of 5% US yields and 3.7% US inflation.
  3. Capital allocation. About $3.5bn is committed to acquisitions (foodpanda Taiwan, Stash, both Atome phases). That cuts usable net cash from $5.4bn to about $1.6bn. Atome Phase 2 is priced at 13x EBITDA, with a $2.0–4.5bn equity value range.
  4. Incentive creep from fuel costs. On-Demand incentives rose to 10.9% of GMV in Q2 (+72bps), partly to support drivers through the regional fuel crisis.
  5. Rates and sentiment. BofA cut its target to $4.50 on higher rates; growth multiples have compressed across the sector in 2026.
  6. Governance. Dual-class shares give the founder control. Uber's CEO left the board in July, and the CEO sold shares through mid-2026 before buying $29.9m in September.

Catalyst calendar

The next test is Q3 2026 results in early-to-mid November (date not yet announced): the FS breakeven call and the first measured cost of the Indonesia cap.

15 Jun 2028 Convertible holders' put ($1.5bn) Cash needed if shares stay below $6.55 Neutral; cash is reserved

Stop-loss and invalidation triggers

Exit or cut to half if any fundamental trigger hits; review (not automatically sell) on the price trigger.

  • Guidance: 2027 adjusted EBITDA guidance below $1.0bn, or the $1.7bn 2028 target withdrawn.
  • Financial Services: segment EBITDA still negative in 1H27, or impairments growing faster than the loan book for two quarters running.
  • Regulation: a commission cap extended to Indonesian cars or delivery, or a cap imposed in Vietnam or another market. That moves us to the bear case ($2.56).
  • Capital allocation: further M&A that takes adjusted net cash below zero, or Atome Phase 2 priced at the $4.5bn cap.
  • Price: a close below $2.30 (−21%, about 10% under bear value) triggers a full thesis review.
